Quorum Definition
Used substantively, quorum signifies the number of persons belonging tc* a legislative assembly, a corporation, society, or other body, required to transact business. There is a difference between an act done by a definite number of persons, and one performed by an indefinite number. In the first case, a majority is required to constitute a quorum, unless the law expressly directs that another number may make one. 88 Pa. St. 42; 9 Wend. (N. Y.) 394; 7 Cow. (N. Y.) 402. In the latter case, any number who may be present may act, the majority of those present having, as in other cases, the right to act. 1 Barn. & C. 492. In the absence of special provision, a majority is a quorum (12 Mete. [Mass.] 99; 13 Ind. 581), but sometimes the law requires a greater number than a bare majority to form a quorum. In such case, no quorum is present until such a number convene. In the absence of a rule of procedure to the contrary, the presence of a quorum in a legislative body can only be ascertained from the votes recorded on the particular matter submitted (117 N. C. 158) ; but a rule authorizing the presiding ofiicer to count members present and not voting to make up a quorum is within the power of a legislative body (144 U. S. 1).

The number of persons who must legally be present at a meeting to transact corporate business or the business of any assembly of persons. When the membership of the assembling group or body consists of a definite number of persons as required by law for example, a board of directors or the United States Senate majority (more than half) of the members is required to make a quorum, unless the controlling law expressly states that another number constitutes a quorum. At common law (in U.S. law), when the membership of the assembling body consists of an indefinite number of persons (that is, the law requires no definite number)as the stockholders of a corporation any number constitutes a quorum; however, the bylaws (in U.S. law) , and frequently the statutes or charter, customarily make an express provision concerning a quorum. In the case of a stockholders’ meeting, the designated quorum usually relates to the amount of stock represented at the meeting and not to the number of stockholders.

This Congressional concept is provided by the United States Congress website as a a basic reference document: Minimum number of members of a chamber (or committee) required for the transaction of certain types of business.
Quorum in the Legislative Process
The minimum number of members of a house of the legislature who must be present in order for the chamber to conduct business. In the House of Representatives, for example, quorum is set at a bare majority of all members, or 218 congressmen.
