State Laws: Each state’s Limited Liability Company (LLC) laws are published in:

  • The state’s statutory code, which will be available from hard copy and electronic sources (see “State Statutes”);
  • The multi-volume Corporation set (Aspen);
  • Bamberger and Jacobson’s State Limited Liability Company and Partnership Laws’
  • Limited Liability Companies: State Statutes and Federal Materials (West); and
  • Ribstein and Keatinge on Limited Liability Companies.

Each state’s Limited Liability Company (LLC) laws are published in:

  • The state’s statutory code, which will be available from hard copy and electronic sources (see “State Statutes”);
  • Bamberger and Jacobson’s State Limited Liability Company and Partnership Laws.

Uniform Laws: Uniform Laws Annotated reprints the both the Uniform Limited Partnership Act and the Limited Liability Company Act with annotations and state variations.

Model Agreements: The ABA’s “Model LLC Membership Interest Redemption Agreement” was published in the May 2006 issue of the Business Lawyer (v. 61, n. 3, p. 1197). “A Model Limited Liability Company Operating Agreement” was published in the ABA Course Materials Journal in August 1993 (v.18, n. 1, p. 51-94).

Treatises: The key treatise on LLPs is Bromberg and Ribstein on Limited Liability Partnerships. For LLCs, there is Ribstein and Keatinge on Limited Liability Companies, Sargent and Schwidetzky’s Limited Liability Company Handbook (West), Bishop and Kleinberger’s Limited Liability Companies: Tax and Business Law (RIA Group) and the commentary on the LLC laws in Bamberger and Jacobson’s State Limited Liability Company and Partnership Laws. For both LLPs and LLCs, there is Thomas A. Humphreys’ Limited Liability Companies and Limited Liability Partnerships (Law Journal Press).
