One who enters into a contract of sale (in U.S. law) and agrees to purchase the real property of another (vendor (in U.S. law)). Every contract of sale must have a vendee (“purchaser” or “buyer”). If two or more vendees want to take title (in U.S. law) as joint tenants, the contract of sale must describe them as such tenants. The buyer may be an individual or a corporation (in U.S. law). If the lawyer is an individual, he or she must be an adult of sound mind. If the vendee is a corporation, the purchase must have been duly authorized by the corporation’s board of directors. A seller who enters into a contract of sale with a corporation as vendee should make certain that the corporation (in U.S. law) is actually in existence and that it has power under its charter to purchase the real property. A trustee or an executor seldom has power to purchase real estate.
