In a legal sense, the term constructive generally applies that which amounts in the eyes of the law to an act, although the act itself is not necessarily performed. The law presums the act to have been performed and applies the term to many situation to prevent a miscarriage of justice. For example, the holder of a warehouse receipt has constructive possession of the goods represented by the receipt, although the holder does not have act; personal occupancy or possession of the property. Some of the circumstances under: which the law will presume an act are indicated by the following: constructive abandonment, constructive delivery, constructive desertion, constructive eviction, constructive fraud, constructive gift constructive notice, constructive possession, constructive process, constructive receipt of income, constructive service, and constructive trusts. 1. Constructive Delivery. Arises when actual, or manual, delivery is impossible or undesirable. Constructive delivery includes those acts that are equivalent to actual delivery although they do not confer real possession. Acts that bar a lien or a right to stoppage in transit, such as marking and setting apart goods as belonging to the buyer, constitute constructive delivery.

2. Constructive Notice. Notice that arises from a strictly legal presumption that cannot be controverted. The presumption is one of law and not of fact, as distinguished from implied notice that arises from an inference of facts. The presumption of constructive notice is conclusive against the actual facts. Thus, a mortgage recorded with the proper public authorities is constructive notice of the mortgagee’s interest in the property. Constructive Receipt. Constructive receipt of income usually constitutes taxable income under the various tax laws. For example, any time during the year commissions may be credited on a firm’s books to a salesperson who may draw upon the firm to the amount of the credit. The commission is said to be constructively received. Whatever amount is credited to the salesperson would have to be reported by the salesperson as income in the year the amount was credited on the books, even if the money was not drawn until the following year.
