Voting Trust Definition

A voting trust may be comprehensively defined as one created by an agreement between a group of the stockholders of a corporation and the trustee, or by a group of identical agreements between individual stockholders and a common trustee, whereby upon certain contingencies or under certain circumstances, it is provided that control over the stock owned by such stockholders shall be lodged in the trustee, either with or without a reservation to the owners or persona deslg>nated by them of the power to direct how such control shall he used. 3 Fletcher Cyclopedia Corporations 2871.

A method devised for concentrating the control of a company in the hands of a few people. A voting trust is usually organized and operated under a voting trust agreement. This is a contract between the stockholders and those who manage the corporation, called the voting trustees. The stockholders transfer their stock to the trustees, giving them the right to vote the stock during the life of the agreement. The trustees in turn issue certificates of beneficial interest, called voting trust certificates, to the stockholders, who are entitled to the dividends. All stockholders may become parties to the agreement, which is generally subject to statutory regulation. The trust is usually for a definite period. When it is terminated, the certificate holders are notified to exchange their trust certificates of stock.
