Stock that is given a preference over other stock of the same corporation (in U.S. law) primarily with respect to dividend (in U.S. law) payments, but preferences with respect to asset distribution upon liquidation and other matters, as well as limitations, may also exist. Preferred stock gives its owner a claim on income either in a fixed amount or at a fixed rate, unlike common stock (in U.S. law), which entitles its owner to a residual share of the corporate income. In the event of dissolution, the preferred stockholder is entitled to a stipulated sum for his principal claim before anything is paid to common stockholders.

Preferred stock has certain features that are of particular advantage to the issuing corporation. The issuance of preferred stock makes financing possible without sharing profits and control in the unlimited fashion required by common stock. Also, preferred stock has the advantage, generally, of being redeemable at the option of the corporation, thus enabling refinancing with a new security paying a lower dividend. Preferred stock, like common stock, may have the right to participate in the management of the corporation through its voting power, but ordinarily preferred stock does not carry the general voting privilege. However, preferred stock is frequently given vetoing power or the right to vote as a class on particular questions and the general voting privilege under particular circumstances.
