Certificate of Good Faith

A written statement by an attorney that he or she has filed a demurrer (in U.S. law) on behalf of a client in good faith and not for the purpose of delay.

Certificate of Incorporation

A written instrument that determines what the corporation (in U.S. law) is authorized to do. It is sometimes referred to as articles of incorporation, articles of association, or charter of the corporation. The general corporation laws of each state provide what must and what may be included in the certificate. It is essential to valid incorporation that the provisions of the general corporation law prescribing the necessary contents of the articles be complied with. Before the proposed certificate of incorporation is filed with the public official designated by law (usually the Secretary of State), it should be checked carefully to make certain that all provisions required by statutes are included. Failure to include a required provision may lead the designated public official to reject the proposed certificate, thus requiring redrafting and resubmission with attendant delay. Generally, the certificate of incorporation must contain the following:

1. Name of corporation.

2. Purpose or objects of corporation or nature of its business.

3. Place of business.

4. Amount of capital (in U.S. law) stock and number of shares into which it is divided. If more than one class is created, a description of the different classes with terms on which respective classes are created.

5. Statement of maximum amount of indebtedness that may be incurred and prohibition against exceeding that amount.

6. Duration of corporate existence.

7. Name and residence of incorporators.

8. Statement indicating what officers are to conduct corporate affairs or statement that such information is contained in the bylaws.

9. Number of directors and names and addresses of directors selected for first year.

10. Statement showing compliance with requirements concerning subscription to, or payment for, capital stock, including amount required to be paid in before commencing business.

11. Designation and address of registered agent (person to receive summons (in U.S. law) in case of suit).

Certificate of Stock

Written evidence of ownership of a certain number of shares in a corporation (in U.S. law) . The certificate itself evidences the holder’s right to a proportionate share in the declared dividends and in the assets of the corporation upon its dissolution. The certificate is an assignable chose in action (in U.S. law). See also capital (stock)

Certificate of Title

An instrument, written and signed by a title (in U.S. law) examiner, stating that in his or her opinion the seller has good title to property to be conveyed. A certificate of title may be issued by an attorney who examines the public records and gives an opinion about the validity of the title based on such examination. It offers no protection to the purchaser of property against any hidden defects in the title that an examination of the records could not reveal or against any unwarranted litigation attacking the title. The issuer of the certificate is liable only for damages (in U.S. law) due to negligence. A certificate of title is, in effect, title insurance (in U.S. law) .
